If we decide to represent your film, you will be provided with a Representative Agreement that will contain more detailed language regarding our engagement. However, the basic terms that we will require in order to represent your film are as follows:
1. Fees. Our fee is an amount equal to 10% of the gross revenues, consisting of money actually received and/or paid to you from the film. The commission shall be 10% of 100% of the gross licensing fees or other consideration (including any post-production or completion funding or other goods and services) that is derived from the worldwide exploitation of your film. We will attempt to arrange for the distributor to make separate payments to ourselves and to you. However, if the distributor refuses, as we are attorneys, the funds shall be deposited into our Clients Trust Accounts, which are like escrow accounts that are regulated by the State Bar, and disbursements will be made from the accounts to ourselves and to you.
2. Legal Services. The 10% commission does not include legal services for the negotiation or drafting of contracts. Those services will be the subject of a separate retainer agreement.
3. Credit. If the credits for the film have not been "locked", then you will add a credit that states "Producer Rep: filmrep.com".
4. Length of Agreement. Unless we agree to represent your film on an exclusive basis, you will have the right to contact us and request that your film be taken down from the site. We also will have the right to take the film off of the site. Ten days notice is all that is required. If we receive an offer during that ten day period, we will pass it on to you. However, the contract will state that if you refuse a deal during the term, and then make a same or similar deal with that distributor or any distributor which we had sent information to during the term, we shall still be entitled to our commission.
5. Expenses. There is no charge to list your film on our site, but if a distributor requests screeners or promotional materials we will require a $100 payment to be deposited into a Client Trust Account.
